1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the Dandee Incorporated mobile app and website (collectively, the “Service,” “Dandee,” “we,” “us,” or “our”). By using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.
These Terms apply to all users of Dandee, including homeowners (“Users”) and contractors or tradespeople (“Contractors”).
2. Overview
Dandee Inc. is a platform that connects homeowners with independent contractors. We do not provide contracting, home repair, or maintenance services, and we are not a general contractor, subcontractor, or employer of any user on the platform. All work arranged through Dandee is strictly between the homeowner and the contractor.
Dandee does not supervise work, guarantee quality, pricing, timelines, or outcomes, and is not responsible for any damages, disputes, or conflicts between users. We are not a party to any contracts formed between homeowners and contractors. The platform provides tools to facilitate matching, messaging, scheduling, and payment processing, but the actual work and agreements remain solely between the users.
Some features of the Service may be in beta or under development. Use of these features is at your own risk, and Dandee makes no guarantees regarding their performance, accuracy, or reliability.
3. Eligibility
To use Dandee, you must be at least 18 years old, provide accurate information when creating an account, and not be prohibited from using the Service under applicable law.
Contractors must additionally hold any required licenses, permits, or insurance, and represent that all information provided to Dandee is true, current, and complete.
4. User Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Dandee Inc. immediately if you become aware of any unauthorized use of your account. Dandee reserves the right to suspend or terminate accounts that violate these Terms of Use or engage in any activity deemed harmful to the Service.
5. Payments & Fees
For homeowners, the core version of Dandee is free to use. Optional premium features may be offered through in-app purchases, and by using these features, you authorize third-party payment processors, such as Stripe or Apple, to charge your chosen payment method.
For contractors, access to job matching, CRM, payments, quoting, scheduling, and other tools is provided for a subscription fee of $14.99 (USD) per month. Dandee does not take a commission on jobs, although standard processing fees may apply through the payment provider.
The Service may contain links or integrations with third-party websites or services. Dandee is not responsible for the availability, accuracy, or content of these third-party services, and your use of them is at your own risk. All payment data is handled exclusively by third-party providers. Dandee does not store full credit card numbers or bank account information, and is not responsible for any errors or issues arising from the payment processing system.
By using the Service, you consent to receive electronic communications from Dandee, including account updates, billing notifications, and promotional messages. You may opt-out of marketing communications at any time; however, essential transactional messages, such as billing or account alerts, will still be delivered.
6. Taxes & Documents
Dandee Inc. may provide certain documents, such as summaries or 1099 forms, generated by third-party processors. Dandee does not prepare taxes, provide tax advice, file taxes on your behalf, or verify the accuracy of any tax documents. Contractors are solely responsible for accurately reporting their income and fulfilling all applicable tax obligations.
7. Messaging, Photos, and Videos
Homeowners and contractors may exchange messages, photos, or videos through the Dandee Service. With your permission, the app may access your device’s camera, microphone, or photo library to facilitate these exchanges. You agree not to send content that is illegal, harassing, abusive, contains sensitive personal data, or that you do not have the rights to share. Dandee Inc. is not responsible for any user-generated content, and all interactions and shared materials are solely between the users involved.
Any mention, listing, or display of contractors, services, or third-party content on the Service does not constitute an endorsement or guarantee by Dandee. Users are solely responsible for evaluating and selecting contractors.
8. Scheduling & Calendar Tools
Dandee Inc. provides scheduling and calendar features to facilitate appointments and service coordination between homeowners and contractors. However, Dandee does not guarantee the availability of contractors, the accuracy of scheduled appointments, or the completion of any jobs. All scheduling, confirmations, and agreed-upon services occur solely between the homeowner and the contractor, and Dandee is not responsible for any disputes, delays, or issues arising from these interactions.
9. Contractor Verification
Dandee Inc. performs basic verification of contractors, which may include insurance confirmation, license checks (where applicable), and identity verification. However, Dandee does not guarantee the accuracy, safety, skill, or reliability of any contractor. All contractors remain fully independent and are solely responsible for the work they perform, their actions, and any outcomes resulting from services provided through the Service.
10. Disclaimers
Dandee is provided on an “as is,” “as available,” and “with all faults” basis. To the fullest extent permitted by law, Dandee Inc. disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant the accuracy, reliability, completeness, or timeliness of any information provided through the Service, including contractor listings, homeowner information, job details, or pricing.
Dandee does not provide legal, financial, tax, or professional advice. Any guidance, information, or recommendations provided through the Service are for general informational purposes only and should not be relied upon as professional advice.
We do not guarantee any job outcome, workmanship, contractor availability, responsiveness, or suitability, nor do we guarantee the accuracy of estimates, quotes, or pricing. We make no representations regarding the safety, behavior, or conduct of any user, whether a homeowner or a contractor, and we do not warrant that any user is who they claim to be. You acknowledge and agree that you are solely responsible for verifying the qualifications, licenses, insurance, and suitability of any contractor or homeowner before proceeding with any job or on-site meeting.
We further do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components. We do not guarantee that messages, notifications, or scheduling features will be received, delivered, or function without delay or failure. To the fullest extent permitted by law, Dandee shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost opportunities, or emotional distress, arising out of or in connection with the use of the Service. Your use of Dandee is entirely at your own risk.
Dandee does not provide professional, legal, medical, or financial advice. Any guidance, recommendations, or content offered through the Service is for informational purposes only and should not be relied upon as professional advice. Users should consult their own advisors for decisions in these areas.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Dandee Inc., including its officers, employees, contractors, and affiliates, shall not be liable for any damages of any kind arising out of or related to your use of the Service or your interactions with other users, including homeowners and contractors. This includes, without limitation, any disputes, miscommunications, scheduling issues, cancellations, missed appointments, dissatisfaction with services, or any outcome of a job arranged through the platform.
Dandee is not responsible or liable for any property damage, personal injury, bodily harm, theft, loss, negligence, misconduct, fraudulent behavior, unlicensed activity, or failure to perform by contractors or homeowners. All work, job decisions, pricing agreements, and on-site interactions occur solely between the homeowner and the contractor. You acknowledge that Dandee does not supervise, oversee, or guarantee the quality, safety, or legality of any services performed by contractors.
Dandee Inc. shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, strikes, labor disputes, internet or telecommunications failures, government actions, or other unforeseen events.
To the extent liability cannot be fully disclaimed, Dandee’s total cumulative liability for any claim arising out of or related to the Service shall not exceed the amount you have paid to Dandee in the twelve (12) months preceding the event giving rise to the claim, or fifty dollars ($50.00), whichever is greater. Some jurisdictions do not allow certain limitations, so these limits apply only to the extent allowed by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Dandee Inc., including its officers, directors, employees, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your interactions with other users, any work or services you perform as a contractor, or any violation of these Terms of Use. This obligation applies regardless of whether the claim arises from your actions, omissions, or breach of these Terms, and survives the termination or deactivation of your account.
13. Intellectual Property
All logos, trademarks, service marks, software, content, and other materials provided through the Dandee Service are the property of Dandee Inc. or its licensors. You may not copy, reproduce, modify, distribute, create derivative works from, reverse engineer, or otherwise use any portion of the Service, except as expressly authorized by Dandee in writing. You agree not to use any part of the Service, including screenshots, data, or other content, to create a competing platform or application, or for any commercial purpose outside the scope of normal use of Dandee. Users agree not to use any information obtained through the Service to solicit, recruit, or compete with Dandee, including by developing or promoting a competing platform or service. By posting, uploading, or submitting content to the Service, you grant Dandee a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and publish such content in connection with operating, promoting, and improving the Service. All rights not expressly granted to you are reserved by Dandee Inc.
14. Prohibited Conduct
You agree not to use the Dandee Service to post, transmit, or distribute any content or materials that are false, misleading, defamatory, harassing, abusive, or otherwise objectionable. You may not misrepresent your identity, circumvent payment obligations, reverse engineer, scrape, hack, or interfere with the Service, or use the Service for any illegal, fraudulent, or unauthorized purpose. Dandee reserves the right to remove or disable access to any content or account that violates these Terms.
15. Termination
Dandee Inc. may suspend, restrict, or terminate your account, access to the Service, or any content at any time, with or without notice, if you violate these Terms of Use or engage in any activity that Dandee deems harmful to the Service, its users, or its business. You may also request deletion of your account at any time by contacting us at the email provided in these Terms. Termination does not relieve you of obligations that arose prior to termination, including indemnification and payment obligations, and all rights and limitations outlined in these Terms that by their nature survive termination will remain in effect.
16. Changes to Terms
Dandee Inc. may update, modify, or revise these Terms of Use at any time, at our sole discretion. Updated Terms will be posted on the Service, and your continued use of the Service after such posting constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically to stay informed of any changes.
17. Governing Law
These Terms of Use and your use of the Service are governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut, and you consent to personal jurisdiction in such courts.
18. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Service shall first be submitted to good faith mediation. If the dispute is not resolved through mediation within 30 days, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Norwalk, Connecticut, and judgment on the arbitration award may be entered in any court of competent jurisdiction. You and Dandee each waive any right to a jury trial or to participate in a class action.
19. Survival
The following provisions of these Terms of Use survive the termination, deactivation, or expiration of your account and/or access to the Service: Disclaimers (10), Limitation of Liability (11), Indemnification (12), Intellectual Property (13), Payments & Fees (5), Contractor Verification (9), and any other sections that by their nature are intended to survive termination. Termination or suspension of your account does not relieve you of any obligations arising prior to such termination or suspension.
